2. No Default Reseller Rights
Vendor may not resell, distribute, white-label, bundle, sublicense, broker, advertise, or commercially offer Opacity Vision VR to third parties unless Opacity Vision signs a separate written reseller or channel partner agreement. Unauthorized resale is a material breach.

• Avoid false compliance, certification, or permit claims.
• Ensure students accept the Student EULA.

5. Minimum Advertised Price (MAP) Policy
5.1 Controlling MAP Policy. The minimum advertised and resale prices for Opacity Vision VR access, tokens, subscriptions, and bundles are stated in the Minimum Advertised Price (MAP) Policy contained in the Pricing, Token, Subscription, and Minimum Advertised Price (MAP) Terms (the “Pricing Terms”), which control in the event of any conflict with this Section. Authorized resellers and channel partners are expected to advertise and resell Opacity Vision VR access at or above the minimums stated there.
5.2 Unilateral Policy; Reservation of Rights. This is a unilateral statement of Opacity Vision’s pricing expectations, not an agreement requiring any reseller to charge a particular price. Opacity Vision reserves the unilateral right, in its sole discretion, to suspend reseller privileges, remove discounts, decline future sales to, or terminate the reseller status of any reseller whose advertised or actual pricing is below those minimums. Such action is a business-relationship decision and is not a penalty, liquidated damages, or a claim that the reseller has breached any agreement.
5.3 No Price Agreement Required. Nothing in this Section or the Pricing Terms requires any reseller to agree to a resale price or obligates a reseller to charge any particular price; Opacity Vision’s sole response to pricing below the stated minimums is to exercise the business-relationship rights reserved above. This Section applies to advertised, published, and quoted prices — including websites, emails, social media, brochures, public proposals, digital marketplaces, search ads, and other public promotions — and to actual resale pricing, consistent with the Pricing Terms.
6. Non-Circumvention
Vendor may not use Opacity Vision pricing, customer information, platform access, training materials, student records, or business information to bypass, compete against, undercut, misrepresent, or interfere with Opacity Vision’s direct customer relationships. This provision does not prohibit ordinary fair competition based on independently obtained information.
7. Marketing Approval
Opacity Vision may require written approval of reseller marketing materials, web pages, proposals, advertisements, search ads, social posts, demo videos, screenshots, and certificate examples. Approval may be revoked at any time.
8. Termination of Reseller Status
Opacity Vision may revoke reseller status for misuse, underperformance, nonpayment, brand damage, customer complaints, unauthorized claims, regulatory risk, data mishandling, or violation of any agreement or policy. Upon termination, reseller must stop marketing or selling Opacity Vision access and must return or destroy confidential materials as directed.
