These Pricing, Token, Subscription, and Minimum Advertised Price (MAP) Terms apply to Opacity Vision purchases, quotes, invoices, tokens, bundles, subscriptions, pricing tiers, minimum advertised pricing, and related commercial terms.

2. Published Pricing and Quotes

Opacity Vision may publish or issue pricing through website pricing, quotes, invoices, order forms, subscription plans, token bundles, minimum advertised price policies, written proposals, enterprise agreements, or authorized sales communications. Published pricing is subject to change and is not a guaranteed quote unless confirmed in a written quote or order form.

The controlling minimum advertised and resale prices are set out in Section 12 (Minimum Advertised Price (MAP) Policy), which governs in the event of any conflict with this Section.

4. Price Changes

Opacity Vision may change pricing prospectively at any time. Price changes do not affect already-paid tokens during their active term unless the order form says otherwise, Vendor breaches the agreement, Vendor misuses tokens, Vendor changes tier, Vendor requests additional features, Vendor exceeds usage limits, or prior pricing was promotional, temporary, or mistaken.

5. Taxes and Fees

Vendor is responsible for all taxes, duties, government fees, payment processing fees, chargebacks, bank fees, procurement fees, portal fees, and administrative charges arising from Vendor’s purchase or use of the Platform. Tax-exempt Vendors must provide valid documentation before invoice processing.

6. Administrative Setup Fees

If Vendor requires Opacity Vision to complete vendor registration, procurement onboarding, insurance submission, W-9 submission, ACH setup, supplier forms, custom invoice formats, purchase order processing, compliance questionnaires, or other administrative steps outside standard checkout or invoicing, Opacity Vision may charge an administrative setup fee.

7. Token Definition and Use

A Token is a limited access right that may be redeemed for a designated training product, student course, VR module, lecture, certificate attempt, or other Platform service. Tokens are not currency, gift cards, stored value, securities, or cash equivalents.

Unless the optional Online Lecture add-on has been purchased, a Token redeemed for certification provides the VR certification component (Method 9 opacity observation and testing) only. Any required lecture or classroom training is separate, is not included with a standard Token, and is the Vendor’s responsibility, as described in the Vendor and Reseller terms.

• One token may be assigned to one student unless stated otherwise.

• Tokens may be redeemed only for eligible Platform services.

• Tokens may not be redeemed for cash.

• Tokens may not be sold, transferred, brokered, or sublicensed outside Vendor’s organization.

• Tokens may not be shared by multiple students.

• Tokens may not be reused after redemption.

• Tokens may expire.

• Tokens may be suspended or revoked for misuse.

8. Token Assignment, Reassignment, and Expiration

Vendor is responsible for assigning tokens to the correct student. Once assigned or redeemed, a token may not be reassigned unless Opacity Vision approves the reassignment. Opacity Vision may refuse reassignment if the course has started, the student has accessed content, a certificate has been generated, or misuse is suspected.

Tokens do not expire before activation. Once a Token is activated by an attempted official test, the Token expires forty-five days after activation unless it is earlier consumed, certified, voided, or otherwise closed under the Platform rules.

9. Refunds and Cancellations

Unless stated otherwise in a signed order form, tokens are non-refundable once purchased. Subscription fees are non-refundable after the subscription term begins. Cancellation stops future access or renewal but does not entitle Vendor to a refund for already-purchased tokens, redeemed tokens, setup fees, administrative fees, completed services, or active subscription terms.

10. Subscriptions and Renewals

Subscription access applies only during the active paid subscription term. Unless a signed order form states otherwise, each subscription has a twelve-month term beginning on the date of purchase.

Subscriptions do not automatically renew. Vendor must manually renew before the subscription end date to maintain uninterrupted subscription access. Opacity Vision may send courtesy renewal reminders, but failure to receive a reminder does not extend the subscription term.

11. Overage

If Vendor exceeds subscription limits, Opacity Vision may charge overage fees, require purchase of additional tokens, move Vendor to a higher tier, suspend additional enrollments, or restrict access until payment is received.

12. Minimum Advertised Price (MAP) Policy

12.1 Purpose. Opacity Vision establishes this Minimum Advertised Price Policy (“MAP Policy”) to protect the integrity, market positioning, and brand value of the Opacity Vision Platform and of the training services delivered through it. Opacity Vision licenses its Platform to independent vendors and resellers who market and resell access under their own brand (for example, “[Vendor] VR, powered by Opacity Vision”). This MAP Policy states the minimum prices at which Opacity Vision expects those vendors to advertise and resell Platform access to end customers. It is a unilateral statement of Opacity Vision’s pricing expectations and is not a contract term, covenant, or agreement requiring any Vendor to charge a particular price.

12.2 Relationship to Vendor Packages. A Vendor’s annual vendor package or platform license (for example, Entry, Growth, Advanced, or Enterprise) governs the Vendor’s own subscription to the Platform — its branded subdomain, student allotment, and feature set. That package is separate from, and not governed by, this MAP Policy. This MAP Policy governs only the prices a Vendor advertises and charges its own end customers for student VR tokens and end-customer subscriptions, as set out below.

12.3 Stated Minimum End-Customer Prices. Opacity Vision expects all vendors, resellers, distributors, channel partners, and other parties authorized to access, resell, or provide access to the Platform (collectively, “Vendors”) to advertise, market, and resell access to end customers at or above the following minimums:

End-customer purchase

Minimum advertised / resale price

À-la-carte Student VR Token (single user, no end-customer subscription)

$250 per token

Student VR Token, where the end customer holds an active $2,000/year subscription

$200 per token

10-token block, where the end customer holds an active $2,000/year subscription

$1,500 per block of 10 ($150 per token)

25-token block, where the end customer holds an active $2,000/year subscription

$3,125 per block of 25 ($125 per token)

50-token block, where the end customer holds an active $2,000/year subscription

$5,000 per block of 50 ($100 per token)

100-token block, where the end customer holds an active $2,000/year subscription

$7,500 per block of 100 ($75 per token)

Vendors are free to advertise and resell at any price at or above the applicable minimum. Only pricing below the applicable minimum is inconsistent with this MAP Policy.

12.4 The Subscription Is the Only Path Below $250. The discounted per-token minimums — $200 per token (single), and the per-token block minimums of $150, $125, $100, and $75 for the 10-, 25-, 50-, and 100-token blocks respectively — are available only in connection with an active end-customer annual subscription of $2,000 per year, purchased by the end customer through the Vendor. Absent such an active subscription, the à-la-carte minimum of $250 per token applies. Opacity Vision does not expect, and this Policy does not contemplate, any advertised or resale token price below $250 outside the subscription structure described in Section 12.3, or below the applicable per-block minimum stated in Section 12.3 for subscribed customers.

12.5 Scope of the Policy. This MAP Policy applies to all advertised, published, quoted, and actual end-customer pricing of Platform access by Vendors, including pricing shown on websites, marketplaces, proposals, quotes, invoices, social media, email campaigns, print, and any other medium, and including bundled, discounted, promotional, or “effective” pricing that results in a net price below the applicable minimum.

12.6 No Agreement Required; Unilateral Policy. Opacity Vision does not ask, request, or require any Vendor to agree to this MAP Policy, and a Vendor’s compliance is voluntary. Opacity Vision will not negotiate Vendor resale prices, condition vendor packages on a Vendor’s resale prices, or seek assurances of a Vendor’s resale prices. This MAP Policy is announced unilaterally by Opacity Vision.

12.7 Reservation of the Right to Decline or Discontinue Business. Opacity Vision reserves the unilateral right, in its sole discretion, to decline to begin, to suspend, to decline to renew, or to discontinue any business relationship — including Vendor access, vendor package renewal, token sales, vendor or subscription pricing, reseller status, and Platform access — with any Vendor whose advertised or actual end-customer pricing is below the minimums stated in this MAP Policy. Such action is a business-relationship decision reserved to Opacity Vision; it is not a penalty, liquidated damages, or a claim that the Vendor has breached any agreement, and nothing in this Policy obligates a Vendor to pay any amount on account of its pricing decisions.

12.8 Changes to the Policy. Opacity Vision may modify, suspend, or discontinue this MAP Policy, or the stated minimum prices, prospectively at any time by updating these Terms or issuing a revised policy. Changes apply going forward.

12.9 No Exclusive Territory. Authorization as a Vendor, or participation in any vendor package, subscription, or discount, does not grant any Vendor an exclusive territory, exclusive customer base, or exclusive market, unless a separate written agreement signed by Opacity Vision expressly grants exclusivity.

12.10 Multi-Site and Facility Pricing. Where pricing is extended to a named facility, account, or group, it applies only to that named facility, account, or group unless stated otherwise. Discounts and vendor pricing do not automatically extend to affiliates, subsidiaries, parent companies, or sister organizations, and one account’s unused allocation may not be transferred to another unless Opacity Vision approves in writing. Multi-site pricing may require an active subscription or minimum commitment.

12.11 Anti-Circumvention. Opacity Vision may decline or discontinue business with any Vendor that attempts to evade this MAP Policy through bundling, “free” add-ons, rebates, credits, coupons, manipulated account or subscription structures, mischaracterized affiliate relationships, or other arrangements that produce a net advertised or resale price below the applicable minimum.
